1. Agreement to Terms
By installing or using Shopedge in connection with your Shopify store, you (“Merchant”, “you”) agree to be bound by these Terms. If you do not agree, do not install or use the App. These Terms apply in addition to the terms and policies of Shopify and third-party platforms such as Google, Meta, and OpenAI/Gemini (AI providers).
2. Eligibility
You represent that:
- You are at least 18 years old.
- You have authority to bind the business you represent.
- Your use of the App complies with applicable laws.
The App is intended only for business users operating a Shopify store.
3. Description of the Service
- Shopedge connects to:
- Shopify Admin API
- Google Analytics 4
- Google Ads
- Meta Ads
- Third-party AI providers (OpenAI & Google Gemini)
The App retrieves analytics, performance data, and store information and generates insights using AI. The App does not store Shopify order data, customer PII, GA4 event data, or Meta ad event data, except minimal configuration and authentication details.
4. Third-Party Services
Your use of the App requires compliance with:
- Shopify API License & Terms
- Google API Services User Data Policy (including Limited Use)
- Meta Marketing API Terms
- AI provider Terms (OpenAI, Google Gemini)
The App is dependent on these third-party services. If they change their APIs or availability, App functionality may change.
5. Acceptable Use
You may not:
- Use the App for unlawful purposes
- Reverse engineer or tamper with the App
- Misuse platform data in violation of Shopify, Google, or Meta rules
- Attempt unauthorized access to the App or its infrastructure
6. Fees
If fees apply, they will be displayed in the Shopify App Store listing. Billing is handled through Shopify’s billing system unless otherwise noted.
7. Intellectual Property
All software, UI, branding, and documentation are owned by AdsCode LLC. You receive a limited, non-transferable license to use the App within your Shopify store.
8. Data Protection Summary
Details are fully described in the Privacy Policy. Key points:
- You remain the controller of any customer personal data accessed via Shopify APIs.
- We act as a service provider / processor.
- We do not sell or share customer data.
- We store only minimal configuration data needed to operate the App.
9. Disclaimers
The App is provided “as is”, without warranties. We do not guarantee improvements to sales, ROAS, or financial outcomes. Insights are informational and should be validated independently.
10. Limitation of Liability
To the maximum extent permitted:
- No indirect, incidental, or consequential damages.
- Total liability is limited to fees paid in the last 12 months (or $50 if free).
11. Indemnification
You agree to indemnify us for claims arising from your misuse of the App or violations of these Terms or applicable laws.
12. Suspension & Termination
We may suspend or terminate access if:
- You breach these Terms
- Required third-party integrations fail
- Security issues occur
- You uninstall the App
Upon uninstall, data is deleted according to the Privacy Policy.
13. Changes to Terms
We may update these Terms. Continued use indicates acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the State of Florida.
